Terms of Service

These terms govern your use of this website. They also set out the basis on which we take on work — though any actual project is governed first by the signed proposal for it.
Agreement to these terms
This website is operated by MetaTech Co., Ltd. (“MetaTech”, “we”, “us”). By accessing or using it you agree to these terms. If you do not agree with them, please do not use the site.
The site is informational
This site describes what we do and shows work we have delivered. Nothing on it is an offer capable of acceptance, a quotation, or professional advice you should act on without talking to us. Descriptions of services, timelines and results are illustrative: what any particular project involves is settled in writing between us.
Permitted use
You may view the site and share links to it. You may not:
- copy, reproduce or republish substantial parts of it for commercial purposes without our written permission;
- scrape, harvest or systematically extract its content, including for training machine-learning models, without our written permission;
- attempt to gain unauthorised access to it, probe it for vulnerabilities, or interfere with its normal operation;
- use it unlawfully, or in a way that infringes anyone else’s rights.
Our intellectual property
Except for client material identified below, everything on this site — its design, code, text, layout and the MetaTech name and logo — belongs to MetaTech or is licensed to us, and is protected by Thai and international intellectual-property law. These terms give you no licence to it beyond ordinary viewing.
Client work shown on this site
Project names, logos, screenshots and trade marks belonging to our clients are shown for identification and portfolio purposes and remain the property of their respective owners. Their appearance here does not imply that those owners endorse MetaTech, nor that we still act for them.
Engaging us: proposals and scope
Work begins only once we have both signed a proposal, statement of work or quotation. That document — covering scope, deliverables, schedule and fees — takes precedence over these terms if the two ever conflict.
Quotations are valid for the period stated on them. Anything outside the agreed scope is a change request, which we will price and schedule separately before starting it.
Fees and payment
Fees, milestones and any deposit are set out in the signed proposal. Unless it says otherwise:
- invoices are payable within the period stated on the invoice;
- fees are exclusive of value added tax and of any withholding tax, each of which is applied as Thai law requires;
- third-party costs passed through to you — hosting, domains, licences, fonts, stock assets — are your responsibility;
- we may suspend work on overdue accounts, having given you notice first.
Deliverables and ownership
On receipt of all fees due, ownership of the final deliverables we have created specifically for you passes to you.
Until then they remain ours. Two things are carved out and stay with us, licensed to you perpetually for the purpose of using the deliverables: our pre-existing tools, libraries, frameworks and know-how; and concepts, drafts and design routes we presented but you did not select. Third-party components keep their own licences, which pass to you on their own terms.
Your responsibilities
Projects depend on you as well as on us. You agree to give us the content, access, approvals and feedback we need, in reasonable time, and you confirm that any material you supply is yours to use and does not infringe anyone’s rights. Where a delay in your input moves the schedule, the timeline shifts accordingly.
Portfolio and publicity
Unless you tell us otherwise in writing, we may show completed work — including your name and logo — in our portfolio, on this site and in proposals. We will never publish anything you have identified as confidential. Ask us and we will remove your project from public display.
Confidentiality
Each of us may learn things about the other that are not public. Both of us agree to keep such information confidential, use it only for the project, and protect it as carefully as we protect our own — for as long as it stays confidential. This does not apply to information that is already public, that we knew independently, or that we are legally required to disclose.
Third-party links and services
This site links to external websites and relies on third-party services. We do not control them and are not responsible for their content, availability or practices. Following an external link is at your own risk.
Disclaimers
The site is provided “as is” and “as available”. To the fullest extent the law allows, we make no warranties about it — including that it will be uninterrupted, error-free, secure, or that its content is complete, current or accurate.
Nothing here limits any warranty we have given you expressly in a signed proposal, or any liability that cannot lawfully be excluded.
Limitation of liability
To the fullest extent permitted by Thai law, MetaTech is not liable for indirect, incidental, special or consequential loss, nor for lost profits, revenue, data, business or goodwill, arising from your use of this site.
Our total liability arising out of or in connection with your use of this site is limited to [cap — e.g. THB 10,000]. Liability for project work is governed by the cap in the signed proposal for that project. Nothing in these terms excludes liability for fraud, wilful misconduct, death or personal injury caused by negligence, or anything else that cannot lawfully be excluded.
Indemnity
You agree to indemnify MetaTech against claims, losses and reasonable costs arising from your breach of these terms, your unlawful use of the site, or material you supplied to us that infringes a third party’s rights.
Suspension and termination
We may suspend or withdraw access to this site, in whole or in part, at any time and without notice. Termination of a project engagement is governed by the signed proposal for it.
Changes to these terms
We may update these terms. The version on this page, bearing the date at the top, is the one that applies. Continuing to use the site after a change means you accept the updated terms.
Governing law and jurisdiction
These terms and any dispute arising from them are governed by the laws of the Kingdom of Thailand, and the courts of Thailand have exclusive jurisdiction. If any provision is found unenforceable, the rest continues in force.
